1. Introduction

Welcome to everytext.io.

These Terms of Service (“Terms”) apply to the software utility APIs, API client, and other products and services (collectively, the “Service”) provided by everytext.io (“everytext.io”, “our”, or “we”) via everytext.io and its associated domains.

These Terms apply to individuals and entities that seek to obtain access to software utility APIs or the API client via the Service (“Consumers”). Unless otherwise specified, “you” refers to API Consumers or API Client Consumers.

The “Effective Date” of these Terms is the date you first access the Service. everytext.io reserves the right to change or modify any of the terms and conditions contained in these Terms (or any policy or guideline of everytext.io) at any time and in its sole discretion by providing notice that these Terms have been modified. Such notice may be provided by sending an email, posting a notice on the platform, posting the revised Terms on the site and revising the date at the top of these Terms, or such other form of notice as determined by everytext.io. We will send these notifications at least 7 days before the date that the new terms and conditions will be applicable.

Privacy

For information about how we collect, use, and share information about users of the Service, please see our Privacy Policy. In the event of any inconsistency between these Terms of Service and the Privacy Policy, the Privacy Policy shall prevail.

2. Service & Registration

Service

everytext.io provides a platform where software utilities are exposed as APIs and can be discovered and consumed by Consumers. These APIs are primarily built and provided by everytext.io. everytext.io reserves the right to invite developers and API creators to offer their software utility APIs through the everytext.io platform. All products and services offered through the everytext.io platform are hosted and managed by everytext.io. Each published utility API (‘offering’) includes a description and other related terms and conditions. Consumers may use an offering or a combination of offerings as part of their subscription plan.

everytext.io also offers an API client that can be used by individuals and organizations to design, build, and document APIs. This is also considered part of the everytext.io Service in these terms.

everytext.io grants you a non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to access and use the Service subject to these Terms.

Registration

• (a) By registering to use the Service, accessing the Service, or providing access to any software utility API (collectively “Offering”), you agree and acknowledge the following:
  • (i) that you have read and understand all provisions of these Terms;
  • (ii) that you agree to be legally bound by all provisions of these Terms;
  • (iii) that you will not use the offering (and thereby bound by these Terms) if: (a) you are not of legal age to form a binding contract with everytext.io, or (b) you are a person barred from using or receiving the APIs under the applicable laws of your jurisdiction.
  • (iv) If you are using the Offerings on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms and that you have the necessary permission and license to accept these Terms on behalf of that entity.
• (b) In order to access the Service, Consumers must register with everytext.io by completing the registration forms provided via the everytext.io website. As part of the registration, you agree to (a) provide accurate, current, and complete information as may be prompted by the registration forms, (b) maintain the security of your everytext.io account password, (c) maintain and promptly update the Registration Data, and any other information you provide to everytext.io, to keep it accurate, current, and complete, and (d) accept all risks of unauthorized access to the Registration Data and any other information you provide to everytext.io.
• (c) You are responsible for safeguarding the passwords you use to access the Service and agree to be fully responsible for activities or transactions that relate to your everytext.io account or password. You must notify everytext.io immediately if you learn of an unauthorized use of your account or password.
• (d) everytext.io does not permit registrations made with disposable email addresses. Upon registration, our system may perform checks to identify disposable email addresses. If an email address is determined to be disposable, the associated account may be disabled without prior notice.
• (e) Dispute Process: If you believe your account has been disabled in error due to the use of a disposable email address, you may dispute this action by contacting our support team at [[email protected]]. By using our platform, you agree to abide by this policy regarding disposable email addresses. We reserve the right to update, modify, or change this policy at any time without prior notice.

3. Offerings

For each offering, everytext.io will provide all the information required for the service to be hosted on the platform. Each offering includes a description, pricing parameters, any overage fees, and other applicable terms and conditions as defined by everytext.io and fall under the overall everytext.io subscription plans. Consumers acknowledge and agree that everytext.io may remove any offering at its sole discretion.

Subscription Packages

• (a) There are different subscription plans for the API catalog and the API client. These plans are independent from each other.
• (b) Consumers may browse the listed offerings and subscribe to access and use offerings pursuant to one of the available everytext.io subscription plans. All subscription plans include access to the entire list of available offerings, with differences in attributes such as number of calls, calls per second, storage, etc.
• (c) everytext.io reserves the right to change the way these plans are constructed, including changing the API usage limits, the list of available APIs in every plan, the price points, and any other subscription plan attribute, without prior notice.
• (d) everytext.io sets and enforces the above-mentioned limitations on your use of the offerings (e.g., limiting the number of API requests, users, or APIs that can be designed), in our sole discretion. You agree not to attempt to circumvent such limitations. If you would like to use any offering beyond these limits, you must either upgrade to another subscription plan or obtain everytext.io’s express consent.
• (e) Unless otherwise expressly set forth, subscription plans will automatically renew for additional periods equivalent in length to the initial subscription period. Each Consumer may change or terminate the subscription plan according to the terms and conditions of such plan.

Fees

• (a) The pricing terms for each Consumer’s access and use of Offerings are set forth in the everytext.io subscription plans selected by the Consumer. All payments must be made by credit or debit card via an authorized payment processor.
• (b) everytext.io will charge the credit/debit card provided by the Consumer in advance and in accordance with the subscription plan selected. Most plans are monthly, payable at the beginning of each month. Annual subscriptions may be available at a different price point.
• (c) In the event of downgrading to a lower plan, the subscription to the current plan will remain until the end of the billing period. In the event of upgrading to a higher plan, the new plan will be effective immediately.
• (d) Each Consumer authorizes everytext.io (or its authorized payment processor) to charge the credit/debit card number provided in accordance with the selected subscription plan, and represents and warrants that they are authorized to use and have fees charged to the card provided. Authorization may be withdrawn by contacting everytext.io at [[email protected]].

Restrictions

Except as expressly authorized by these Terms, you may not (or allow those acting on your behalf to):

• (i) Modify, disclose, alter, or translate the Service (or any components thereof);
• (ii) Sublicense an offering for use by a third party;
• (iii) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Service or any part thereof;
• (iv) Use the Service for any unlawful, harmful, fraudulent, infringing, or offensive purpose;
• (v) Circumvent, disable, or otherwise interfere with security-related features of the Service.

4. User Content

You are solely responsible for all content and data you upload, post, or otherwise transmit via the Service. You represent and warrant that you have all rights necessary to provide such content and that your content does not violate any law or the rights of any third party.

5. Intellectual Property

All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of everytext.io and its licensors. Except as expressly provided in these Terms, you are not granted any rights or licenses under any patents, copyrights, trademarks, or other intellectual property rights.

6. Disclaimer

The Service is provided “as is” and “as available” without warranty of any kind. everytext.io disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. everytext.io does not warrant that the Service will be uninterrupted, error-free, or secure.

7. Indemnification

You agree to defend, indemnify, and hold harmless everytext.io, its affiliates, directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

8. Limitation of Liability

To the fullest extent permitted by applicable law, everytext.io will not be liable to you or to any third party for any incidental, special, indirect, consequential, exemplary, or punitive damages whatsoever, arising out of or related to these Terms, the Service, or any content, however caused, regardless of the theory of liability, even if everytext.io has been advised of the possibility of such damages. The total liability of everytext.io for any claim under these Terms is limited to the amount you paid us to use the applicable offerings during the six months prior to the event giving rise to the liability.

9. Dispute Settlement

In the event of any controversy or claim arising out of or relating in any way to these Terms or the Service, you and everytext.io agree to consult and negotiate with each other in good faith and try to reach a solution satisfactory to both parties. If settlement is not reached within 60 days, either party may demand mediation or arbitration in accordance with the rules of the relevant jurisdiction. The language of all proceedings and filings will be English.

10. Miscellaneous

Independent Contractors

Neither party will, for any purpose, be deemed to be an agent, employee, or partner of the other party. The relationship between the parties is that of independent contractors.

Assignment

You may not assign, delegate, or transfer these Terms or any right, title, interest, or obligation hereunder without the prior written consent of everytext.io. everytext.io may assign these Terms without your prior written consent.

Third-Party Infrastructure

You acknowledge and agree that everytext.io may use third-party hosting infrastructure in connection with the Services, and everytext.io assumes no liability for any claim that may arise with respect to such infrastructure.

Electronic Communications

By using the Service, you agree that we may communicate with you electronically regarding your use of the Service and that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements.

Severability

If any provision of these Terms is invalid or unenforceable, all other provisions will remain in full force and effect.

Force Majeure

everytext.io is not responsible for any failure to perform or delay attributable to causes beyond its reasonable control, including but not limited to acts of God, terrorism, civil disturbances, or disruptions of essential services.
